Starr International (Europe) Limited (Starr UK) is proposing to transfer all of its general insurance business to the extent that it relates to a risk or risks situated in the European Economic Area and all of its general reinsurance business which relates to a risk or risks situated in Germany to Starr Europe Insurance Limited (Starr Malta) (the Proposed Transfer).

The UK ceased to be a member of the European Union (the EU) on 31 January 2020 (Brexit). It is necessary for the Starr Group to restructure its European operations by undertaking the Proposed Transfer in order to continue to service its European policyholders as a result of Brexit and following the expiry of the transitional period agreed between the UK and the EU (currently expected to end on 31 December 2020).

Both Starr UK and Starr Malta are part of the Starr group (the Starr Group). Starr Malta is an insurance and reinsurance company incorporated in Malta, authorised and regulated by the Malta Financial Services Authority. Starr UK and Starr Malta are both members of the Starr Group. Starr Malta currently has an ‘A’ (Excellent) financial strength rating from A.M. Best. The Proposed Transfer must be carried out in accordance with the UK Financial Services and Markets Act 2000. This requires us to obtain approval from the High Court of England and Wales (the Court). The legal process is explained further in the documentation listed below.

The Proposed Transfer is expected to take effect on 30 November 2020 if approved by the Court.

The Transfer will have no effect on the terms and conditions of policyholders’ existing cover. Starr Malta will administer the transferring policies in line with the Starr Group’s current systems, policies and procedures for its European operations (as the same may be updated from time to time) and therefore in the same manner to the administration currently undertaken by Starr UK. An independent expert (the Independent Expert) has been appointed to write a report for the Court (the Independent Expert Report). The Independent Expert has assessed the impact of the Proposed Transfer and has concluded that it will not materially adversely affect any group of policyholders or reinsurers.

If you are comfortable with the Proposed Transfer and the information contained in the documentation listed above, you do not need to take any further action. However, if you have concerns regarding the Proposed Transfer and how it may affect you, you have the right to make a written representation to the Court or be heard at the Court hearing (in person or by legal representation). You may also raise these concerns with us in writing or over the telephone and we will make a record of your concerns and communicate these to the Prudential Regulation Authority, the Financial Conduct Authority, the Independent Expert and the Court. In light of current government guidelines regarding COVID-19, please note that it is possible that the hearing may take place remotely via a teleconferencing service. It is requested if you intend on attending the hearing (whether in person or via your representative), you inform Starr UK and Starr Malta in writing (using the contact details set out below) as soon as possible and preferably before 5 November 2020. This will enable Starr UK and Starr Malta to provide any details necessary to attend the hearing if it is to be held remotely.

The Court hearing is scheduled to take place on 12 November 2020 at the High Court of Justice, 7 Rolls Building, Fetter Lane, London, EC4A 1NL, UK. We will update this website for any changes to the date of the Court hearing or the date of the Proposed Transfer.
